Terms of Use

These Terms of Use (“Terms”) constitute a legally binding agreement between Les Amis Pvt. Ltd, a company incorporated under the laws of India, trading as “EximPe,” with its registered office at #76, First Cross, 8th ‘B’ Main, Jakkasandra Block, Koramangala, Bengaluru, Karnataka – 560034, India (contactable at [email protected]) (“EximPe,” “we,” “us,” or “our”), operating the cross-border payment aggregation platform at https://eximpe.com/ (“EximPe Platform”), and the merchant, marketplace, or front-end payment aggregator availing the services described herein (“Merchant,” “You,” or “Your”).

This document constitutes an electronic record under the Information Technology Act, 2000, and is published in accordance with Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. Registering on, accessing, or using any part of the EximPe Platform or submitting an onboarding application shall constitute Your unconditional acceptance of these Terms. Any separate written agreement executed between EximPe and the Merchant shall be supplementary to, and not in derogation of, these Terms.

BY ACCESSING OR USING THE EXIMPE PLATFORM OR SERVICES, YOU EXPRESSLY CONSENT TO BEING BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT ACCEPT THESE TERMS, PLEASE IMMEDIATELY CEASE ACCESSING THE PLATFORM.

1. Overview of Services

EximPe provides three categories of services under these Terms. The primary focus is the PA-CB Service. Where a Merchant cannot be onboarded under the PA-CB Service, EximPe may offer a Referral Service. In addition, EximPe facilitates access to Connected Banking (AD-1 Trade Account) services as a Technology Service Provider.

1.1 Payment Aggregator – Cross Border (PA-CB) Service — Primary Service

This is EximPe’s core service. EximPe holds an RBI-issued Payment Aggregator – Cross Border (PA-CB) certificate (No. 291/2026) and operates as a regulated payment aggregator for inward cross-border remittances and international transaction settlement.

What this means for You:

  • EximPe enables eligible Merchants and marketplaces to receive inward remittances and settle international transactions from overseas customers using authorised payment instruments.
  • EximPe assesses every prospective Merchant for onboarding suitability under RBI’s PA-CB framework. If You meet EximPe’s eligibility and compliance requirements, You will be onboarded as a Merchant under the PA-CB Service.
  • EximPe operates exclusively as a PA-CB and does not offer domestic online payment aggregation (PA-O) or physical point-of-sale (PA-P) payment facilitation.
  • Settlement of cross-border transactions is conditional upon receipt of funds from the relevant acquiring banks, card networks, and AD-1 banks, and may be subject to delays arising from regulatory review, foreign exchange controls, sanctions screening, or anti-money laundering obligations. EximPe does not guarantee settlement of any transaction.
  • EximPe may, without prior notice, restrict or suspend cross-border transactions involving specific geographies, currencies, or transaction categories based on regulatory requirements, risk assessments, or internal policies.

1.2 Referral Service or TSP Services — Where PA-CB Onboarding Is Not Possible

If, after assessment, EximPe determines that a prospective Merchant cannot be onboarded under the PA-CB Service (for example, due to business category restrictions, regulatory constraints, or eligibility criteria), EximPe may, at its sole discretion, refer or introduce the Merchant to one or more partner service providers who may be in a position to serve the Merchant’s needs.

EximPe’s role under the Referral Service:

  • EximPe acts solely as a Technology Service Provider (TSP) and lead-referral intermediary — connecting You with a suitable partner.
  • EximPe does not process, clear, or settle any payments on Your behalf under the Referral Service.
  • The partner to whom You are referred will independently assess Your eligibility and provide services under their own terms, conditions, and regulatory framework.
  • EximPe makes no representation or guarantee that a referral partner will onboard You, approve Your application, or provide any particular service.
  • EximPe bears no responsibility or liability for the quality, availability, continuity, or outcomes of services provided by a referral partner.
  • Any fees, charges, or commercial arrangements between You and the referral partner are entirely between You and that partner.

1.3 Connected Banking Services — AD-1 Trade Accounts

In addition to its PA-CB service, EximPe facilitates access to AD-1 Trade Accounts for Indian importers and exporters through its partnerships with AD-1 licensed banks. EximPe’s role here is exclusively that of a Technology Service Provider (TSP).

What EximPe does as TSP:

  • Provides a fully digital platform and interface for You to apply for and access an AD-1 Trade Account with EximPe’s banking partner(s).
  • Enables 100% online submission of trade documents, including documents required for EDPMS/IDPMS compliance — no bank visits required.
  • Displays live indicative FX rates communicated by the banking partner.
  • Facilitates instant digital generation of Foreign Inward Remittance Advice (e-FIRA) upon receipt of funds.
  • Transmits Your payment instructions and documentation to the banking partner for execution.
  • Provides platform-level customer support for onboarding and transaction queries.

What EximPe does NOT do:

  • EximPe does not open, hold, or operate bank accounts. All accounts are issued and maintained by the AD-1 licensed banking partner.
  • EximPe does not execute, clear, or settle FX transactions. All FX dealing and fund settlement are performed exclusively by the banking partner.
  • EximPe does not guarantee account opening. The banking partner independently performs KYC/KYB verification and approves or rejects applications at its sole discretion.
  • EximPe bears no liability for failed, delayed, or rejected transactions, or for account suspension or closure by the banking partner.

2. Prior to Commencement of Services

  • You shall furnish EximPe with all documents, information, and declarations prescribed by EximPe’s internal policies and applicable RBI, NPCI, or other regulatory guidelines before Services commence.
  • You represent and warrant that all information and documentation submitted is accurate, current, and complete, and shall produce originals for verification upon request.
  • EximPe may withhold or suspend Services where requisite documentation is not furnished in a timely manner.
  • EximPe may at any time request additional documentation or re-submission of previously furnished materials to ensure continued compliance.
  • Any wilful misrepresentation, fraudulent conduct, or deliberate exploitation of the Services shall entitle EximPe to terminate Your access immediately and without prior notice.
  • EximPe may disclose information received from You to banks, financial institutions, payment partners, regulators, government authorities, or law enforcement agencies to the extent required by applicable law or EximPe’s compliance obligations.
  • The continued provision of Services is contingent upon Your timely payment of applicable fees and strict compliance with all applicable laws governing Your business and the transactions processed through the Services.
  • EximPe bears no responsibility for determining, collecting, reporting, or remitting any taxes applicable to Your sales or payments received through the Services. All tax obligations rest entirely with You.
  • You represent and warrant that all cross-border transactions processed through the Services comply fully with applicable laws, including foreign exchange regulations and applicable trade controls.

3. Membership Eligibility

Access to the EximPe Platform and Services is available exclusively to persons and entities that are legally competent to enter into binding contracts under the Indian Contract Act, 1872. Persons who are minors (under 18 years), undischarged insolvents, or otherwise declared incompetent to contract under applicable law are ineligible to register or use the Platform. By registering or using the Services, You represent and warrant that You possess the requisite legal capacity and authority to be bound by these Terms. Where You register on behalf of a legal entity, You further represent that You are duly authorised to legally bind such entity, and that the entity is validly incorporated and in good standing.

4. Account Registration and Obligations

Upon registration, information provided by You shall be used by EximPe to facilitate onboarding, configure Your account, and deliver the Services. You are solely responsible for maintaining the confidentiality of Your account credentials and for all activities conducted under Your account. You represent and warrant that all registration information shall be accurate, current, and complete at all times, and shall be promptly updated whenever it changes. EximPe reserves the right to suspend, terminate, or block access to Your account where information is found to be untrue, inaccurate, or incomplete, or where EximPe has reasonable grounds to suspect a breach of these Terms. Notify EximPe immediately at [email protected] of any unauthorised access to or suspicious activity in Your account.

5. Privacy

The collection, storage, use, and processing of any personal or business information submitted in connection with Your use of the EximPe Platform is governed by EximPe’s Privacy Policy, available at https://eximpe.com/privacy-policy. By accessing the Platform or availing the Services, You acknowledge that You have read and understood the Privacy Policy, and consent to the collection and use of Your information in accordance therewith. To the extent any conflict arises between these Terms and the Privacy Policy with respect to the handling of personal data, the Privacy Policy shall prevail.

6. Electronic Communications

By accessing or using the EximPe Platform, You consent to receive communications from EximPe via electronic means, including email, SMS, push notifications, and in-app messaging, as required in connection with Your account and the Services. You further grant EximPe and its authorised representatives Your express consent to contact You on Your registered mobile number for verification, account management, or service-related communication, notwithstanding any registration of that number on a Do Not Call registry. Electronic communications from EximPe shall satisfy any requirement for written notice to the fullest extent permitted by applicable law, including the Information Technology Act, 2000.

7. KYC and Transaction Platform

The EximPe Platform serves as a technology-enabled gateway for Merchants to access cross-border payment aggregation and connected banking services. To activate and avail the Services, You shall complete EximPe’s Know Your Customer (“KYC”) and onboarding verification process, which includes providing personal details, business information, financial data, and supporting KYC documentation as required under applicable RBI guidelines.

You agree and warrant that all information and documentation furnished shall be accurate, authentic, and complete. EximPe may collect, verify, authenticate, and process Merchant data as necessary to facilitate transactions. All transactions shall be non-discretionary and subject to successful verification, regulatory clearance, and approval of Your account.

AD-1 Trade Account – KYC Note: Where You apply for an AD-1 Trade Account, registration and activation are subject to the banking partner’s independent KYC/KYB verification and approval process. EximPe facilitates Your application submission but does not guarantee account activation. The banking partner’s decision is final, and EximPe bears no liability for any rejection, delay, or conditional approval.

8. Platform Use and Prohibited Conduct

Your use of the EximPe Platform shall at all times be lawful and in accordance with these Terms. You shall not:

  • Host, upload, display, transmit, or otherwise circulate any content that is unlawful, defamatory, misleading, fraudulent, harmful, or in violation of any third-party intellectual property or privacy rights.
  • Deploy automated tools, bots, crawlers, scripts, or other means to access, copy, extract, or monitor any portion of the EximPe Platform without EximPe’s prior written authorisation.
  • Attempt to probe, scan, interfere with, disrupt, or circumvent the security measures or operational integrity of the Platform or any connected systems.
  • Engage in any conduct that adversely affects the experience of other users or EximPe’s infrastructure.

Unauthorised access, misuse of the Services, or prohibited conduct may result in immediate account termination, civil liability, and referral to law enforcement authorities.

9. Merchant Obligations and Use of Services

  • You agree to access the Services solely through the interfaces and integration methods authorised by EximPe.
  • Absent EximPe’s prior written consent, You shall not reproduce, duplicate, sublicense, resell, or commercially exploit the Services or any component thereof.
  • You are solely responsible for any breach of Your obligations under these Terms and for all resulting losses, liabilities, or damages.
  • You shall ensure that all material information about Your business is accurately and conspicuously published on Your website, including Your cancellation, refund, privacy, shipping, and delivery policies, as well as product or service descriptions and contact details.
  • You shall not offer, sell, or facilitate the purchase of counterfeit, fraudulent, or prohibited goods or services, and shall not engage in any conduct intended to deceive or defraud customers.
  • Customer grievances shall be addressed in accordance with EximPe’s Grievance Redressal Policy at https://eximpe.com/redressal-policy. Any amounts required to be reversed in connection with grievances may be adjusted against Your settlement balance.
  • You bear full responsibility for resolving customer disputes and shall cooperate with acquiring banks, card networks, EximPe, and other payment partners in connection with any dispute or chargeback proceedings.
  • EximPe shall furnish You with transaction reports and settlement reconciliation statements. Any discrepancy must be reported within the timeline mutually agreed between the parties.
  • Settlement to Your designated bank account shall occur only after reconciliation by acquiring banks, AD-1 banks, EximPe, and escrow banks, and upon actual receipt of funds into the applicable escrow or outward collection accounts.
  • All resulting chargebacks, reversals, penalties, and fines shall be borne exclusively by You and may be offset against Your settlement entitlements.

10. Data Security

EximPe shall provide You with account credentials for accessing the Services. You shall maintain the confidentiality of such credentials, secure Your systems in compliance with applicable laws and industry standards, and implement appropriate technical and organisational safeguards.

You shall ensure the protection and segregation of customer data, restrict access to authorised personnel on a strictly need-to-know basis, obtain all legally required consents for the collection and processing of customer data, and notify EximPe of any actual or suspected data breach or security incident within four (4) hours of becoming aware thereof.

You shall not store customer card details or sensitive payment data in any form, except for limited transaction reference data retained for reconciliation purposes using approved tokenisation methods. You shall adhere to PCI DSS standards and all applicable data security requirements.

11. Indemnity

You agree to indemnify, defend, and hold harmless EximPe, Les Amis Pvt. Ltd, and their respective affiliates, officers, directors, employees, agents, and successors from and against any and all claims, demands, proceedings, liabilities, losses, damages, costs, and expenses (including reasonable legal and professional fees) arising out of or in connection with: (i) Your breach of any provision of these Terms or any applicable law or regulation; (ii) any fraudulent, wilful, negligent, or unauthorised act or omission by You or Your personnel; (iii) any dispute, complaint, or legal action raised by Your customers in connection with the goods, services, or representations made by You; (iv) any inaccuracy, misrepresentation, or non-disclosure in the information or documentation furnished by You to EximPe; (v) Your violation of any third-party intellectual property, privacy, or other rights; or (vi) any regulatory penalty, fine, or sanction imposed on EximPe as a direct result of Your non-compliance. This indemnity obligation shall survive the termination or expiry of these Terms.

12. Intellectual Property Rights

The EximPe Platform, website, technology stack, brand assets, and all associated content are the exclusive property of EximPe and Les Amis Pvt. Ltd, protected by applicable intellectual property laws. Each party retains all right, title, and interest in its own intellectual property, and nothing in these Terms transfers any such rights to the other party.

Subject to compliance with these Terms, EximPe grants You a limited, non-exclusive, non-transferable, non-sublicensable, and royalty-free licence, valid during the term of engagement, to access and use the Services solely for the purposes contemplated herein.

You shall not copy, adapt, reverse engineer, decompile, resell, create derivative works from, or otherwise misuse EximPe’s platform, brand, or intellectual property. Any use beyond the scope of the licence granted herein requires EximPe’s prior written consent.

13. Termination

The term of engagement and the provisions governing termination of Services shall be as separately agreed between the parties in writing, operating in conjunction with these Terms. In addition, EximPe may, at its sole discretion and without prior notice, terminate Your access to the Services if You violate any provision of these Terms, engage in prohibited conduct, or if EximPe is required to do so by applicable law, regulatory instruction, or court order. Termination shall be without prejudice to any rights, obligations, or liabilities that have accrued prior to the date of termination, including any indemnity, confidentiality, or payment obligations.

14. Warranties and Disclaimer

Except where expressly provided in these Terms, EximPe provides the Services and the EximPe Platform on an “as-is” and “as-available” basis, and expressly disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title, or uninterrupted and error-free operation.

  • EximPe does not warrant that the Platform will be accessible at all times or that content thereon will be complete, accurate, or current.
  • In the event of any interruption to the Services, EximPe’s sole obligation shall be to make commercially reasonable efforts to restore Services within a reasonable time. This shall constitute Your sole and exclusive remedy with respect to such interruptions.
  • EximPe makes no warranty regarding the availability, quality, or continuity of any banking, FX, or settlement service provided by the banking partner for AD-1 Trade Accounts. EximPe disclaims all responsibility for the banking partner’s decisions, including account rejection, suspension, or transaction blocking.
  • EximPe does not warrant the successful execution, settlement, or completion of any AD-1 transaction. EximPe’s sole obligation is to use commercially reasonable efforts to maintain platform connectivity.
  • EximPe bears no responsibility for services provided by referral partners under the Referral Service. EximPe’s role is limited to making the introduction.

15. Limitation of Liability

To the fullest extent permitted by applicable law, EximPe shall not be liable to You for any indirect, incidental, consequential, special, or punitive damages, howsoever arising — including but not limited to loss of profits, revenue, data, or business opportunity — regardless of whether EximPe has been advised of the possibility of such damages and regardless of the theory of liability. EximPe shall have no liability to end customers or any third party in connection with the Services.

EximPe bears no liability for losses arising from: (i) foreign exchange fluctuations or currency conversion differentials; (ii) sanctions-related restrictions in connection with cross-border transactions; (iii) actions or omissions of any banking partner, card network, or acquiring bank; or (iv) any failure, delay, or rejection attributable to the banking partner in connection with the Referral Service or the AD-1 Trade Account service.

16. Amendments to the Terms

EximPe reserves the right to revise, update, or replace these Terms at any time, with revisions taking effect immediately upon publication at https://eximpe.com/terms-and-conditions. Your continued access to or use of the EximPe Platform following the posting of revised Terms shall constitute Your acceptance thereof. It is Your responsibility to review the Terms regularly; You expressly waive any right to receive individual notice of revisions. Where revisions are material, EximPe may, at its discretion, notify registered Merchants via email.

17. General Provisions

  • Waiver: No failure or delay by EximPe in exercising any right or remedy under these Terms shall be construed as a waiver thereof, nor shall any partial exercise preclude further exercise of the same or any other right or remedy.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, such provision shall be severed without affecting the validity or enforceability of the remaining provisions.
  • Assignment: EximPe may assign, transfer, or novate its rights and obligations under these Terms, in whole or in part, upon thirty (30) days’ prior written notice to the Merchant. Such assignment shall be binding on both parties from the effective date of assignment.
  • No Partnership or Agency: Nothing in these Terms shall be construed to create a partnership, joint venture, agency, employment, or fiduciary relationship between the parties. Neither party shall have the authority to bind the other or enter into commitments on the other’s behalf.
  • Governing Law and Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of India. In the event of any dispute, the parties shall first attempt resolution through good-faith negotiations for thirty (30) days. Failing resolution, the dispute shall be referred to arbitration before a sole arbitrator mutually appointed by the parties, conducted in English and seated in Bengaluru, in accordance with the Arbitration and Conciliation Act, 1996. The arbitral award shall be final and binding. Subject to the foregoing, the courts of Bengaluru shall have exclusive jurisdiction.

18. Force Majeure

EximPe shall not be liable for any delay or failure to perform its obligations under these Terms to the extent caused by events or circumstances beyond its reasonable control, including but not limited to changes in law or regulation, governmental action or inaction, civil unrest, armed conflict, pandemics, epidemics, cyber incidents or attacks, critical infrastructure failures, natural disasters, or other acts of God. EximPe shall endeavour to notify the Merchant of any such force majeure event as soon as practicable and shall take reasonable steps to mitigate its impact on the provision of Services.
